Strategy 8-K: 1,665 BTC bought, STRC bought back

Strategy Inc filed an 8-K dated 28 September 2026 that covers the week of 21–27 September. The bitcoin line is an add, not a sale. The company bought 1,665 bitcoin with cash from MSTR at-the-market (ATM) common-stock sales and used more of that ATM cash, plus USD Cash, to repurchase STRC preferred shares.

That is the same two-track capital machine we described on the prior weekly print. Equity still funds coins. Stretch preferred is still being retired in the open market. Preferred ATM lines for STRF, STRC, STRK, and STRD show dashes for the week: no new preferred sold.

Spot bitcoin is not confirming a dump. CoinGecko’s site snapshot at put BTC at $83,039. Coinbase BTC-USD last was about $83,358 when we pulled 24-hour stats at 12:12 UTC on 28 September 2026. Strategy’s average purchase price for the week was $85,681, inclusive of fees.

What happened

The primary document is Strategy’s current report on Form 8-K, accession 0001193125-26-403417, filed 28 September 2026. Item 8.01 is the ATM, bitcoin, repurchase, and dollar-reserve update. Item 7.01 points readers to the company dashboard as an FD channel. Date of earliest event reported in the body is 28 September 2026.

ATM update, 21–27 September 2026:

  • STRF, STRC, STRK, and STRD: no shares sold. Notional and net proceeds are dashes.
  • MSTR Class A: 1,469,165 shares sold. Net proceeds $246.2 million after sales commission.
  • Of that $246.2 million, $142.7 million funded bitcoin purchases. $103.5 million funded STRC repurchases under the digital credit securities repurchase program.
  • Capacity still listed as available for issuance and sale as of 27 September 2026: STRF $1,619.3 million; STRC $17,510.8 million; STRK $2,100.0 million; STRD $4,014.8 million; MSTR $18,844.4 million.

Bitcoin update for the same window:

  • BTC purchased: 1,665.
  • Aggregate purchase price: $142.7 million.
  • Average purchase price: $85,681 (fees and expenses included).
  • Holdings as of 27 September 2026: 847,666 BTC.
  • Aggregate purchase price of the stack: $63.95 billion. Stack-wide average: $75,437.

The filing states those coins were bought with net proceeds from MSTR stock sales. It does not report a bitcoin sale in the window.

Repurchase program update, same dates:

  • STRC: 1,534,530 shares repurchased. Aggregate purchase price $151.7 million.
  • STRF, STRK, STRD, and MSTR common: no repurchases listed (dashes).
  • $723.5 million of preferred remains available under the digital credit securities repurchase program.
  • $1.0 billion remains available under the MSTR stock repurchase program.

USD framework: Strategy used $48.1 million of USD Cash to help fund STRC buybacks in the week, and $22.1 million of the USD Reserve to pay preferred dividends. As of 27 September 2026, USD Reserve was $5.02 billion and USD Cash was $1.00 billion.

The $151.7 million STRC buyback lines up with the two cash sources the footnotes give: $103.5 million from MSTR ATM proceeds plus $48.1 million from USD Cash (about $151.6 million before rounding to $151.7 million).

Context

This is a weekly ATM and treasury print, not a new product launch. We already walked the 21 September 8-K that showed 950 bitcoin bought and cash into STRC. Spot tape this morning is a range hold, not a break. Coinbase 24-hour BTC-USD stats at 12:12 UTC on 28 September 2026 showed open $84,783.88, high $85,158.50, low $82,550, last about $83,358.40. The weekend high on that print is unchanged from earlier hours. The session low is not a decisive range break. Strategy’s $85,681 average for the week sits above that 24-hour high. The coins were bought into last week’s higher tape, then spot slipped.

Spot bitcoin ETF flow is not the same object as Strategy’s ATM. Farside’s full US bitcoin ETF table, read on 28 September 2026, still shows a completed 25 September 2026 total of $134.5 million. The 28 September row is dashes that sum to 0.0. That is an empty Monday print as of this reading, not a new flow shock. Do not mix that blank row with Strategy’s $142.7 million bitcoin buy. Venue last from Coinbase is independent of the 8-K. We cite the public stats endpoint so the $83k tape is checkable: Coinbase BTC-USD 24-hour stats.

Ether was $2,667.03 and Solana $118.62 on the same CoinGecko snapshot. Those figures are tape context only. The 8-K does not mention them.

Our read

Our stance: this 8-K is another bitcoin accumulation print funded by common ATM, paired with a STRC retirement, not a treasury unwind. Preferred ATM did not run this week. The stack rose to 847,666 BTC as of 27 September 2026. USD Reserve and USD Cash are still large in dollar terms. The story is capital structure, not a spot crash caused by Strategy selling coins.

MSTR ATM of $246.2 million is real dilution of common. It is also the stated source of the $142.7 million bitcoin ticket. You can dislike the equity issuance and still read the bitcoin line as an add. Those are two facts in one filing. Mixing them into “Strategy dumped bitcoin” is not what Item 8.01 says.

The $85,681 average versus an $83k tape on 28 September does not make the filing false. It makes the week’s buys look early relative to this morning’s Coinbase range. Marks move. The 8-K reports purchases, not a mark-to-market P&L for the week.

Falsifiable claim: Strategy added 1,665 bitcoin in the 21–27 September 2026 window and reported 847,666 BTC held as of 27 September 2026, with no bitcoin sale in that table. If Strategy files an amendment or a later 8-K that restates that same window with zero bitcoin purchased, a bitcoin sale, or holdings below 847,666 BTC as of 27 September 2026 without an offsetting explanation in the same Item 8.01 tables, we will update this view in a follow-up.

What to watch

First, the next weekly 8-K. Watch whether MSTR ATM keeps funding coins, whether STRC buybacks continue, and whether any preferred ATM line flips from dashes to a print. Capacity on STRC ATM remains large ($17.5 billion listed as available). Unused capacity is not the same as a sale.

Second, USD Cash versus USD Reserve. Cash fell toward the $1.00 billion figure after $48.1 million went into STRC. Reserve paid $22.1 million of preferred dividends and still prints $5.02 billion. A later filing that shows USD Cash draining into coins without ATM proceeds would be a different mix than this week’s footnotes.

Third, spot range. Coinbase’s $82,550 low and $85,158.50 high are the band we have this morning. A decisive break needs a close through those levels on a venue print we can timestamp, not a single wick. Pair that with the next Farside daily that is not a dash row.

Fourth, do not wait on strategy.com as a substitute for EDGAR. Item 7.01 says the dashboard is an FD channel. The numbers we used are in the 8-K HTML. If the dashboard and the next 8-K disagree, the filing wins until an amendment lands.
