Grayscale ZCSH: Aug 25 is a clock, not a listing

Grayscale Zcash Trust is not listed on NYSE Arca yet. The sponsor’s August 21, 2026 Form 8-K says shares are anticipated to begin trading there on or about August 25, 2026, under ticker ZCSH, subject to certain regulatory approvals. The same filing says there is no assurance the shares will list on that timeline, or at all.

That is a dated clock, not a listing stamp. Amendment No. 5 to the Trust’s Form S-3 (registration no. 333-291800), also filed August 21, still carries the standard legend that the prospectus is not complete and that the Trust may not sell the securities until the registration statement is effective. The automatic-effectiveness box under Rule 462(e) is unchecked.

Zcash (ZEC) last printed at $793.72, up 9.5% over 24 hours, in the site market snapshot fetched at 2026-08-22T23:40:28+00:00. Bitcoin was $76,920 (−1.8%) in the same pull. The coin tape is loud. The listing paperwork is quieter, and that gap is the story.

What happened

On August 21, 2026, Grayscale Investments Sponsors, LLC filed a current report for Grayscale Zcash Trust (ZEC). Item 8.01 has two announcements. First, shares were anticipated to begin trading on NYSE Arca on or about August 25, 2026, still as ZCSH, subject to regulatory approvals. Second, the sponsor intends to rename the Trust “The Zcash ETF” on or about the same date, also subject to approvals, by amending the March 9, 2026 trust agreement. Existing stock certificates stay valid.

The 8-K’s securities table still shows the shares as registered under Section 12(g) of the Exchange Act, trading symbol ZCSH, exchange “N/A.” That is the honest snapshot of where the product sits today: an OTC trust with an uplisting calendar, not a live Arca name.

The companion S-3/A, filed the same day, is the conversion manual. The Trust has been quoted on OTC Markets Group’s OTCQX Best Market under ZCSH. After effectiveness and listing, the sponsor wants continuous share issuance, a redemption program that relies on an exemption or other relief under Regulation M, and an arbitrage mechanism through authorized participants. Creations can be in-kind (ZEC in) or cash. As of the prospectus date, in-kind redemptions are not permitted. Redemptions are cash orders only.

Baskets are 10,000 shares. Coinbase, Inc. is named as prime broker. Coinbase Custody Trust Company, LLC is named as custodian, holding vault ZEC in cold storage. The Bank of New York Mellon is transfer agent and administrator. The sponsor’s fee accrues daily at 2.5% per year of the NAV fee basis amount, payable in ZEC. The sponsor says it intends to use 100% of that fee for up to 12 months after effectiveness on marketing and Zcash-network education. That commitment is voluntary and can stop at the sponsor’s discretion. The sponsor does not presently intend to waive the fee.

Context

This is the same uplisting path bitcoin products already walked: an old private-placement trust that traded with huge premia and discounts, then a registration statement, then (if the plumbing works) creations and redemptions that are supposed to pin the share price to net asset value. Read our Bitcoin history page for that earlier cycle. A spot ETF wrapper is a listing and a creation-redemption pipe. It is not a new coin.

The S-3/A is blunt about how badly ZCSH tracked NAV on OTCQX. From October 18, 2021 through June 30, 2026, the maximum premium of the OTCQX close over NAV per share was 240%, the average premium 53%, the maximum discount 55%, and the average discount 19%. The close was at a discount on 700 of those business days. As of June 30, 2026, the discount was 17%. As of August 20, 2026, the OTCQX close was $45.34 and the discount had already compressed to 1% of NAV per share.

As of June 30, 2026, each share represented about 0.0805 ZEC. The Trust held about 2.3% of circulating ZEC. Circulating supply was listed as 16.7 million ZEC, with 24-hour Zcash volume about $195.0 million versus about $9.2 billion for bitcoin, and an aggregate Zcash market value of $6.7 billion. Those are prospectus dates, not today’s tape.

DCG International Investments Ltd., an indirect DCG subsidiary, is in non-binding talks to acquire shares through an authorized participant in exchange for about 200,000 ZEC after effectiveness. The filing says the potential investor could buy more, fewer, or none. Do not treat that block as committed flow.

The privacy design still sits inside the product. The S-3/A notes shielded versus unshielded Zcash transactions, and it recounts a June 2026 Orchard-pool vulnerability that needed an emergency network upgrade. Developers said they believe exploitation was unlikely, but the privacy design meant there was no cryptographic way to prove the bug was unused. ZEC then fell about 50% and later recovered, according to that same prospectus passage. A listed wrapper does not delete that history. It packages it for brokerage accounts.

On Coinbase’s ZEC-USD book, sampled 2026-08-23T00:10:01Z, the top ten bids were about $50,310 of notional while the top ten asks were about $2,317. The 24-hour Coinbase stats print at that time showed a last of $796.78, a high of $865, a low of $698.38, and spot volume of about 289,627 ZEC. That is a lively session with a thin offer wall at the inside. Market depth and liquidity still decide who gets a fill when a creation machine starts asking for coins. Our read

I am treating August 25 as a sponsor calendar, not as proof Arca is open. The 8-K’s own “no assurance” sentence is the correct headline. Until the S-3 is effective, Regulation M relief is in place, and NYSE Arca actually lists the shares, ZCSH remains an OTCQX trust with a new name waiting in the wings. Coinbase Custody as named custodian does not, by itself, finish that list.

The equity-side “ETF will close the discount” slogan is mostly stale. A 1% discount on August 20 is not the 17% gap from June 30. Traders who buy ZCSH into the uplisting week are not buying a 50-point NAV catch-up. They are buying venue change, a 2.5% fee, cash-only redemptions at launch, and whatever ZEC liquidity authorized participants can source.

Narrative is cheap. Exit liquidity is not. A 2.3% slice of circulating ZEC, plus a possible extra 200,000 ZEC that is still only a discussion, is large relative to a book where the displayed ask side can look almost empty at the inside. If creations go live and the share trades rich, someone has to buy ZEC. If redemptions go live in cash, someone has to sell ZEC. Either way the coin, not the ticker rename, does the work.

Falsifiable claim: By 2026-08-26 21:00 UTC, a NYSE Arca tape print or a Grayscale, NYSE, or SEC primary update shows ZCSH listed and trading on NYSE Arca, or a primary notice delays or cancels the on-or-about August 25, 2026 uplisting. If that window passes with ZCSH still OTC-only and with no delay notice, this calendar-clock read is wrong.

What to watch

Watch EDGAR for an effective S-3, not just another amendment. Watch whether Grayscale or NYSE Arca publishes a listing notice that is not hedged with “anticipated” and “subject to.” Watch the OTCQX page for ZCSH into the 25th: if the name change and venue change slip, that page will still be the live market.

On the coin, watch whether Coinbase (and other named index venues) keep offering size when ZEC is this loud. A high print with a tiny displayed offer is a warning, not a victory lap. And watch the 2.5% fee against bitcoin spot products that already taught this market what “cheap beta” looks like. ZCSH can be a useful wrapper and still be an expensive one.
