IREN Q1: AI cloud $200m is not a bitcoin dump

IREN Q1: AI cloud $200m is not a bitcoin dump

IREN Limited’s Form 8-K dated November 5, 2026 is an Item 2.02 print for the quarter ended September 30, 2026 (Q1 FY27). The furnished Exhibit 99.1 puts Total AI Cloud revenue at $200 million and Bitcoin Mining revenue at $28 million. That is not a bitcoin treasury dump. It is a mix shift that was already visible in IREN’s FY26 fourth quarter.

Bitcoin (BTC) on our CoinGecko snapshot was about $76,118, down 5.44% over 24 hours, as of 2026-11-06T00:04:46+00:00. Global crypto market cap was about $2.57 trillion, with bitcoin dominance near 59.31%. The IREN filing is about how a listed miner now books revenue, not about a one-day tape break.

The range still matters for anyone who treats IREN as a leveraged bitcoin proxy. This print says that proxy is getting thinner, while the AI Cloud line is doing the work.

What happened

The 8-K says IREN reported results for the fiscal quarter ended September 30, 2026, and points readers to Exhibit 99.1. The press release, dated November 5, 2026, in New York, is the document with the numbers.

Total quarterly revenue was $228 million, up 66% from $137 million in the quarter ended June 30, 2026. Total AI Cloud revenue was $200 million, up 182% from $71 million. Bitcoin Mining revenue was $28 million, down from $67 million. Net loss was $263 million, narrower than the $684 million loss in the prior quarter. Adjusted EBITDA, a non-GAAP figure IREN reconciles in the same exhibit, was $66 million versus $19 million.

The $200 million AI Cloud total is not one product. Note 1 in Exhibit 99.1 splits it into AI Cloud Services revenue of $135 million and AI Cloud Lease revenue of $65 million. The prior quarter was $71 million of services and nil of lease revenue. AI Cloud segment gross margin is stated at 86%, in line with the prior quarter, using IREN’s definition that excludes depreciation and amortization and site-level costs.

Cost of revenue (exclusive of depreciation and amortization) still shows a mining line: $18 million against $28 million of mining revenue, versus $24 million of cost against $67 million in Q4 FY26. Mining did not go to zero. It stopped being the main print.

Co-CEO Daniel Roberts is quoted in Exhibit 99.1: Horizon 1 went into service for Microsoft with NVIDIA Exemplar status, AI Cloud revenue nearly tripled to $200 million, and “operating ARR doubled to a billion.” The same summary says the more-than-$4 billion ARR target is fully contracted and fully funded, now aimed at January after a customer-requested design change and supplier timing, and that it may extend to the end of February.

Results materials sit on IREN\’s investor presentations page.

Context

In August we wrote that IREN’s FY26 fourth quarter was an AI Cloud crossover, not a bitcoin dump. That Q4 print had AI Cloud Services at $70.5 million and Bitcoin Mining at $66.7 million. Q1 FY27 is the next step of the same story, not a reversal. Mining is now about one-eighth of quarterly revenue. AI Cloud is about seven-eighths.

The ARR clock moved. Exhibit 99.1 note 4 defines annualized-run-rate revenue as GPU/hour pricing for commissioned GPUs under contract, times 8,760 hours, plus storage and ancillaries. It is an operating metric, not GAAP revenue, and recognized revenue may be materially lower. More than $4 billion of ARR is targeted to be operational by January 31, 2027, and may extend to the end of February 2027. That had been a year-end 2026 target. The slip is dated and explained. It is not a silent drop of the figure.

Note 5 says “fully funded” means cash, restricted cash, undrawn committed GPU financing, and contracted customer prepayments not yet received, as of September 30, 2026, cover remaining capex for the 0.3 GW (IT) program behind that ARR target, subject to facility conditions. Remaining planned FY27 capex is $15 billion from September 30, 2026. IREN splits that into $9 billion of cash and committed GPU financing and prepayments, and $6 billion of target financing that is still subject to market conditions.

The balance sheet in the same exhibit is heavier. Total assets were $20.6 billion as of September 30, 2026, including $6 billion of data center assets with 20-year useful lives. Unrestricted cash fell to $3,522 million from $5,896 million at June 30, 2026. Net debt (GAAP debt and finance leases minus unrestricted and restricted cash) was $4,430 million, versus $216 million. Deferred revenue, current plus non-current, rose to $2,544 million from $1,842 million. That is prepaid cloud, not a larger bitcoin stack.

Post-quarter contracts in the release are cloud-priced: an expanded “Leading Frontier AI Lab” deal, a short-term contract at about $40 million per IT-megawatt, a five-year contract at about $22 million per IT-megawatt with 90% of associated GPU capex prepaid, and H100 GPUs at double the prior Prince George price. Those are Exhibit 99.1 claims, not on-chain bitcoin buys.

The tape around the filing is weak, which is why a miner-to-cloud mix shift can be misread as a dump. Coinbase BTC-USD 24-hour stats at the book timestamp 2026-11-06T00:10:57Z showed last $76,127.23, open $80,467.13, high $80,843.85, low $75,035.10, and volume of about 15,054 BTC. A level-2 book snapshot at 2026-11-06T00:11:36+00:00 had a mid near $76,038, with about $10.14 million of bids and $5.04 million of asks inside 1% of mid. That is live venue depth, not IREN’s quarter.

For snapshot timestamps, see how to read a crypto market snapshot. For the coin itself, the desk’s Bitcoin history page is the hub. Mining is still proof of work. It is just no longer the line that sets IREN’s quarter.

Our read

I am not updating the August view. I am extending it. IREN is still a listed company with a Bitcoin Mining segment. Q1 FY27 makes that segment the small print. The $28 million mining line is real. It is not the $200 million AI Cloud line, and it is not evidence that IREN sold a strategic bitcoin reserve in this 8-K. Exhibit 99.1 does not print a period-end bitcoin unit count, and Item 2.02 is results of operations, not a treasury 8-K.

The mix also changes how to read a down day in Bitcoin news. A 5% bitcoin slide still hits mining revenue and still hits equity beta. It does not, by itself, rewrite a quarter where AI Cloud already printed $200 million and lease revenue appeared as a $65 million line that did not exist in Q4.

Watch the ARR date. “Fully contracted and fully funded” is IREN’s phrase, with footnotes. January 31, 2027 is the operational target. February 28, 2027 is the stated extension risk. If that clock slips again without a restated contracted figure, the cloud story is a schedule story.

Falsifiable claim: By the next IREN Item 2.02 Form 8-K that covers the quarter ending December 31, 2026 (Q2 FY27), Bitcoin Mining quarterly revenue is printed above Total AI Cloud revenue for that quarter; or that 8-K, or a restatement of Q1 FY27, says Total AI Cloud revenue for the quarter ended September 30, 2026, was not $200 million; or, on or before January 31, 2027, IREN withdraws the more-than-$4 billion ARR target and does not name a replacement month.

What to watch next

First, the Q2 FY27 Item 2.02 print. Keep the same two columns: Total AI Cloud revenue versus Bitcoin Mining revenue. If mining is back above cloud, this mix-shift read is wrong. If AI Cloud Lease revenue stays near zero after a $65 million debut, the lease line was a one-quarter event.

Second, the ARR clock. January 31, 2027 is the date in note 4. February 2027 is already disclosed as possible. A third date without a contracted-ARR update would be the miss. Track whether IREN still calls the 0.3 GW (IT) program fully funded under note 5’s definition.

Third, cash versus net debt. Unrestricted cash fell by about $2.4 billion while net debt rose to $4.43 billion. The next 8-K or 10-Q should show whether cash keeps falling faster than deferred revenue rises, especially if the $6 billion of “target” FY27 sources stay off the page.

Fourth, bitcoin’s range on the snapshot, not a price target. A break of the Coinbase 24-hour high of $80,843.85 or the low of $75,035.10 from this reading changes miner beta. It does not rewrite the Q1 FY27 cloud print. The filing is the lead.
