Riot BitGo 8-K: custody switch, not a bitcoin sale

Two vaults and a coin character on a desk, no text

Riot Platforms, Inc. told the U.S. Securities and Exchange Commission on 14 October 2026 that it had signed a BitGo Bank & Trust custodial agreement, so BitGo Bank & Trust, National Association, will take the company’s digital assets and cash now held at NYDIG Trust Company LLC. That is a vendor change. It is not a bitcoin sale, a new treasury target, or proof the coins have already moved.

The Form 8-K lists Item 1.01 only. The period of report is 7 October 2026. EDGAR accepted the file at 16:30:33 Eastern Time on 14 October 2026 (20:30:33 UTC). Chief Financial Officer Jason Chung signed it the same calendar day. On our CoinGecko market snapshot fetched at 2026-10-14T23:55:05+00:00, Bitcoin (BTC) was $81,562 (24-hour change −1.87%).

What happened

On 7 October 2026 Riot entered a BitGo Custodial Services Agreement with BitGo Bank & Trust. The 8-K says that agreement was amended on 14 October 2026, the filing day. BitGo Bank & Trust will serve as custodian of Riot’s digital assets and cash. The company signed it as part of an account transfer and transition agreement among Riot, NYDIG Trust, BitGo Bank & Trust, and certain affiliates.

The digital assets and cash NYDIG Trust holds for Riot “will be transferred” to BitGo Bank & Trust. Riot’s Digital Asset Custodial Agreement with NYDIG Trust “will terminate automatically upon completion of that transfer.” Completion is still a future event in this 8-K. The filing does not timestamp a migration window, a wallet cutover, or a completed on-chain move.

Under the described Custody Agreement, BitGo Bank & Trust will hold Riot’s digital assets in segregated custodial accounts maintained solely for Riot and will not commingle them with other clients’ digital assets, with two stated exceptions. At Riot’s direction, assets may sit transiently in an omnibus account to settle trades with a BitGo Bank & Trust affiliate. They may also sit in an omnibus account if Riot elects BitGo Bank & Trust settlement services. Riot retains title. The assets are held in a custodial capacity, separate from BitGo Bank & Trust’s proprietary assets.

The commercial terms are thin because the contract itself is not an exhibit yet. Riot will pay a monthly fee based on the average value of digital assets in custody. BitGo Bank & Trust must keep insurance in types and amounts that are “commercially reasonable” for the service. The initial term is one year, with automatic one-year renewals unless a party gives at least 60 days’ notice of non-renewal. The 14 October amendment, as summarized, lets Riot terminate early on 14 days’ prior written notice with no early-termination fee. BitGo Bank & Trust’s liability is capped at fees paid or payable during the six months before the claim, with exceptions for fraud, willful misconduct, and gross negligence. Riot says the full Custody Agreement and the amendment will be filed as exhibits to its Annual Report on Form 10-K for the fiscal year ending 31 December 2026. Until that 10-K (or an earlier 8-K that actually attaches the contract), traders are reading a summary, not the operative pages.

Context

This is Bitcoin news because Riot is a Nasdaq miner (ticker RIOT) whose balance sheet is a bitcoin stack plus power and data-center kit, not because the 8-K prints a new coin count. Riot’s latest quarterly picture is still the Form 10-Q for the quarter ended 30 June 2026, accepted 10 August 2026. That 10-Q table shows 11,380 bitcoin as of 30 June 2026, carried at $666.038 million (amounts in thousands of U.S. dollars except bitcoin quantity). The reconciling split is 5,559 bitcoin unrestricted ($325.370 million) and 5,821 restricted bitcoin ($340.668 million). Those figures are a mid-year snapshot. They are not the live stack on 14 October, and this 8-K does not update them.

The same 10-Q already told investors that custodian relationships are non-exclusive and can change at any time. It named NYDIG Trust Company LLC and Coinbase, Inc. (including Coinbase Custody Trust Company, LLC) as custodians, with a pointer back to the 2025 10-K for the underlying agreements. Read the new 8-K against that sentence. BitGo is replacing the NYDIG book described here. The filing does not say Coinbase is out. Treating this as “Riot moved all of its bitcoin to BitGo” is more than the document supports.

BitGo’s own qualified-custody page describes BitGo Bank & Trust, National Association as a national trust bank chartered and regulated by the Office of the Comptroller of the Currency. That is marketing context for the name in the 8-K. It is not an independent confirmation that Riot’s NYDIG wallets have already migrated. Custody is the legal hold of keys and title. Counterparty risk is what you take when those keys sit at a named firm with a fee schedule and a liability cap.

The tape around the filing is a grind, not a miner-dump tape. Coinbase BTC-USD last was $81,685.86 with a 24-hour range of $81,332.15 to $84,062.11 (open $83,343.68), read from the exchange 24-hour stats with ticker time 2026-10-15T00:08:09Z. The Coinbase BTC-USD book at 2026-10-15T00:09:43Z showed a one-tick spread (best bid $81,640.97, best ask $81,640.98). About 256 bitcoin of bids sat within 1% below that mid, versus about 127 bitcoin of asks within 1% above. That is ordinary session depth, not a hole that looks like a listed miner emptying a wallet into the offer. Ethereum was $2,418.10 on the same snapshot (−3.14%). For how we timestamp that desk tape, see how to read a crypto market snapshot.

Our read

I read this 8-K as operational plumbing. Riot is changing who holds a slice of its digital assets and cash. It is not telling the market it sold bitcoin, and it is not telling the market the coins have already arrived at BitGo. The range is still the story on the screen. The filing is a custody footnote next to that range.

Two details in the summary matter more than the brand swap. First, the six-month fee liability cap (with the usual fraud / willful misconduct / gross negligence carve-outs) is the economic backstop investors get in this write-up, not a stated insurance dollar figure. “Commercially reasonable” insurance is not a policy limit. Second, the contract pages themselves are deferred to the year-end 10-K. That is legal and common. It also means anyone trading the name-change as if they had read termination, omnibus, and settlement language is ahead of the exhibit.

Riot’s 10-Q already showed it can sell bitcoin in size. In the first half of 2026 the company recorded proceeds from the sale of 9,665 bitcoin. That history is why a custody 8-K gets over-read as a dump. This document does not book a sale. Title stays with Riot. NYDIG’s agreement dies when the transfer completes, not when EDGAR stamps the 8-K.

Falsifiable claim: By 2026-12-31 23:59 UTC, a subsequent Riot Form 8-K, Form 10-Q, or FY2026 Form 10-K will state that the NYDIG Trust transfer completed and BitGo Bank & Trust holds the digital assets previously at NYDIG Trust, or that the transfer was cancelled and NYDIG Trust still holds those assets. If a later filing instead reports those NYDIG-held assets were sold, lost, or otherwise disposed of in connection with this custody change, this vendor-switch-not-a-sale read is wrong.

What to watch next

  • A follow-up 8-K or the next 10-Q that uses past tense for the NYDIG-to-BitGo transfer, or that says the transition was cancelled.
  • The FY2026 10-K exhibits: the Custody Agreement and the 14 October amendment, including the real liability, insurance, and omnibus language behind this summary.
  • Whether Coinbase remains a named Riot custodian in the next 10-Q. This 8-K does not retire that relationship.
  • Bitcoin versus the Coinbase session box of $81,332.15–$84,062.11. A decisive break of that range would be a tape story. This 8-K, by itself, is not.

For the longer cycle around the asset Riot still mines and holds, see our Bitcoin history page. Until the transfer is reported as done, the BitGo name in this 8-K is a successor on paper, not a confirmed wallet move.
